PART II — Mcarthur Digital DISTRIBUTION PORTAL TERMS OF USE

6. Portal Access

Mcarthur Digital is a restricted-access system for artists, labels, rights holders and authorized representatives. Access credentials must be kept confidential.

7. User Account Passwords

For security, Mcarthur Digital user passwords are:

• Generated automatically by our internal secure password generator and sent only to the user's registered email address.
• Visible only to the user; Mcarthur Records Ltd employees cannot see user passwords or access user accounts.
• Not retrievable by Mcarthur Records Ltd; lost passwords require users to request a new password via official support channels.
• Password reset emails include guidance for maintaining account security.
• Stored securely using strong encryption and inaccessible to internal staff.

8. Content Ownership & Warranties

Users uploading content warrant that they own or control all necessary rights, including sound recording rights, publishing rights, and mechanical rights. Users agree that submitted content does not infringe any third-party rights.

9. Distribution Authorization

By submitting content through Mcarthur Digital, users grant Mcarthur Records Ltd a non-exclusive right to distribute, monetize and administer the content across digital platforms and territories selected by the user.

10. Royalty Reporting & Payments

Royalty reports are generated based on data received from digital service providers. Payment schedules, thresholds, and deductions (if applicable) are governed by separate distribution agreements.

11. Compliance & Content Review

All releases are subject to quality control (QC), metadata validation and compliance review. Mcarthur Records Ltd reserves the right to reject, delay or remove content that violates platform policies or applicable law.

12. Prohibited Content

Users may not upload content that:

• Infringes intellectual property rights
• Contains fraudulent metadata
• Promotes unlawful activity
• Violates digital service provider guidelines

13. Account Suspension

Mcarthur Records Ltd reserves the right to suspend or terminate Portal access for breach of these Terms or violation of distribution policies.

14. Indemnification

Users agree to indemnify and hold harmless Mcarthur Records Ltd from claims, damages, or losses arising from uploaded content or breach of these Terms.

15. Limitation of Liability (Portal)

Mcarthur Records Ltd shall not be liable for platform takedowns, territorial restrictions, or third-party enforcement actions.

16. Amendments
